Me and a partner are trying to set up a dedicated,headless file sever for a buisness however there are some constraints such as:
1:They must be able to login
2:It must not be over the internet
how do we do this

What do you mean by headless?
Are you trying to share files on a LAN or over the internet? I'm confused by your question.

A USB drive, with a label on it: "FILE TRANSFER PROTOCOL"

Yeah, SMB is a built-in Windows feature, and isn't too complicated to implement.
If you're setting this up on a Linux box, you may want to look into NFS. It's also pretty easy to setup, and Windows has an NFS client, it's just not installed by default.
Just depends on which way works better for you. If you have more Windows machines, SMB is probably easier. If you have more Linux machines, NFS is probably easier.

I would look at freeNAS. I used it in a production environment and it worked really well.
